Notice of Extraordinary General Meeting

To be held on Sunday 12th March 2017 at 18:30 at the West Oxford Community Centre, Botley Road, Oxford, OX2 0BT. Agenda.

Agenda.

Resolution 1.

To approve the decision of the Committee of West Oxford Community Association to convert the existing unincorporated charity to a Charitable Incorporated Organisation (CIO).

Resolution 2.

To approve the proposed constitution for the new West Oxford Community Association CIO to be registered with the Charities Commission.

Resolution 3.

To approve the first trustees of the new West Oxford Community Association CIO.

Resolution 4.

To authorize the current committee to transfer all assets and undertakings of the existing West Oxford Community Association, including membership fees, contracts of employment, and agreed licences with Tumbling Bay Cafe and Oxford Community Health Hub, to the new West Oxford Community Association CIO.

Resolution 5.

To dissolve the existing West Oxford Community Association once all requisite transfers have been completed and all liabilities are settled.

Resolution 6.

To extend this year's accounting year beyond 31st December 2016 to the date of dissolution of the existing West Oxford Community Association.

Resolution 7.

To authorize that Paragraph 8 (a) of the existing West Oxford Community Association constitution is amended so that its opening sentence reads: "Once in each calendar year an annual general meeting of the Association shall be held at such time and place as the management committee shall determine, being not more than 15 months after the adoption of this constitution and thereafter the holding of the preceding annual general meeting, except for the Year 2016-2017 when the Annual general meeting may be held within 18 months of the last Annual general meeting".
