NOTICE IS HEREBY GIVEN that on 13 December 2016 the Court of Session in Edinburgh made an order sanctioning a scheme of arrangement (the "Scheme") pursuant to Part 26 of the Companies Act 2006 between red24 pic, a public limited company incorporated in Scotland under the Companies Act 2006 (Registered Number SC086069) and with its registered office at Third Floor, Centenary House, 69 Wellington Street, Glasgow G2 6HG, and the holders of the Scheme Shares (as defined in the Scheme). On 15 December 2016 the Registrar of Companies in Scotland registered that order, together with a copy of the Scheme.
