SCHEME OF ARRANGEMENT IN THE MATTER OF MURGITROYD GROUP PLC

Notice is hereby given that on 19 December 2019, a certified copy of an order of the Court of Session dated 17 December 2019 sanctioning a Scheme of Arrangement (the "Scheme"), under Part 26 of the Companies Act 2006 and between Murgitroyd Group PLC a public company incorporated under the Companies Acts, with the registered number SC221766 and with its registered office at Murgitroyd House, 165-169 Scotland Street, Glasgow, G5 8PL, and the Scheme Shareholders (as defined in the Scheme) was delivered to, and registered by, the Registrar of Companies in Scotland. On delivery of that order, the Scheme became effective in accordance with its terms.
